3.Taxes 　　EachpartyshallberesponsibleforitsownValueAddedTax,GoodsandServicesTax,and/oranyothersimilartaxesandgovernmentalchargesorotherdeductions(collectively,”Taxes”).AllamountspayablebytheCompanytoSamsungSecuritiesunderthisEngagementLettershallbepaidfreeandclearof,andwithoutanydeductionorwithholdingfororonaccountofTaxesleviedinanyjurisdictionfromorthroughwhichpaymentismade,unlesssuchdeductionorwithholdingofTaxesisrequiredbyapplicablelaw,inwhicheventtheCompanywillprovideSamsungSecuritieswiththeoriginalwithholdingreceiptsissuedbytherelevanttaxauthority. 　　3.税务 　　各方将负责其本身的增值税、商品与服务税、以及/或任何类似赋税与政府收费或费用的减除（统称“赋税”）.公司按本委托书向三星证券支付的所有应付款将不涉及,不被减除或扣缴任何因付款而被管辖区域所征收的“赋税”,除非是相关适用法律要求减除或扣缴的“赋税”,果真如此,公司将向三星证券提供有关税务当局签发的扣缴发票原件. 　　ⅢIndemnity 　　ThecompanyshallfullyindemnifyandholdharmlessSamsungSecurities(asagentoftheCompany)anditsaffiliatesandeachoftheirrespectivedirectors,officers,agents,contractorsandemployees(anyandallofwhichorwhomisreferredtoasan“IndemnifiedPerson”)fromandagainstanyandalllosses,claims,costs,damages,actions,proceedings,demands,liabilitiesandexpenseswhatsoever,jointorseveral(collectively“Claims”)whichanysuchIndemnifiedPersonmaysufferorincurinanyjurisdictionwhatsoeverandwhichrelatetoorarisefrom,directlyorindirectly,theengagementofSamsungSecuritieshereunderand/ortheprovisionbySamsungSecuritiesofanyservicecontemplatedhereunder,exceptandonlytotheextentthatsuchClaimsarefinallyjudiciallydeterminedtohaveresultedfromthegrossnegligenceorwillfulmisconductoftheIndemnifiedPerson. 　　III赔偿 　　在委托三星证券为代理人及/或三星证券在履行其服务期间所引起向三星证券（作为公司的代理）与其附属公司,以及其董事、管理人员、代理人、承包者与职员（以上所有人简称为“赔偿对象”）直接或间接涉及或导致个别人或全体在任何管辖区的联合或几起的损失索赔、费用要求、诉讼、司法程序、诉求、任何负债与开销（统称“索赔”）,公司应赔偿及让他们免受损害；除非与仅限该“索赔”的最终司法判决是因为“赔偿对象”的故意或重大过失所造成的. 　　TheforegoingindemnitiesshallbeinadditiontoanyrightsthatSamsungSecuritiesoranyotherIndemnifiedPersonmayhaveatcommonlaworotherwiseandshallremaininfullforceandeffectregardlessofwhetherthisEngagementLetteristerminated. 　　除上述的赔偿保护,还应加上普通法或其他所赋予三星证券或任何其他“赔偿对象”的权利,无论本委托书被终止与否,这些保护与权利将具有完全的法律效力并依然有效.
