Termsandconditions:条款： 　　1.Deliverydate:deliveredtofreightforwarder'swarehousebyOctober26,2009(cutoff)tomeetNovember2,2009sailingdate.FOBShenzhen.VendorwillberesponsibletopayforChineseCustomsclearance,truckingtotheforwarder'swarehouseandalloriginfeesincluding,whereapplicable,commodityinspection,exitinspection,A.M.S.&feesaschargedbytheforwarder 　　1.发货日期：在2009.10.26（不包括10.26）之前发货到货运代理的仓库,开航日期为2009.11.02.深圳离岸.卖方负责支付中国的海关结关费用,发货至货代仓库的运费以及一切源头费用,包括合理的商品检验、出口检查,A.M.S.费用以及其他货运代理的收费. 　　2.Paymentterm:30%depositafterppsapproval,balancebeforedelivery 　　2.支付条款：pps通过后支付30%的定金,在发货前支付剩余货款 　　4.inspectioncertificateissuedandsignedbyourauthorizedpersonnelisrequired. 　　4.需要我方权威人士签署出具的检查证明. 　　5.productioncannotstartuntilpre-productionsamplesareapproved. 　　5.只有当试制品通过审核后,才能开始正式生产. 　　6.QualityStandards: 　　Thevendorisresponsibleforthequalityofproducts,andourrandomsampleinspectiondoesnotreleasethevendor'sresponsibilitytomeetthequalitystandardwesetout.Thevendorisresponsibleforanycosts,feeorchangeincurredasaresultofinferiorproducts.Thevendoralsoagreestouseleadfreeandnon-hazardousmaterialfortheproductionofproductsandleadfreepaint/inkforimprintsanddecorationoftheproductduringproduction.WereservetherighttoengageathirdpartytestingcompanytoverifyifsuchpracticeismaintainedinmassproductionandthattheproductissafeandmeetsUSAASTMstandardsandrequirements.**willappointthirdpartytestingcompanytoconducttests. 　　6.质量标准：卖方对产品的质量负责,就算已经通过我方的随机抽样检查,卖方仍需要对我方制定的产品质量标准负责.由次品导致的一切成分费用或变更应由卖方负责.在生产环节,卖方要同意使用无铅的安全原材料进行产品生产,产品上的标记必须使用无铅的颜料/墨水.我方保留雇佣第三方检测公司的权利,第三方检测公司将核实在大规模生产中卖方是否按规定执行以及产品是否安全并且符合美国材料试验协会（ASTM）制定的标准和要求.**将指定第三方检测公司执行检测. 　　7.Vendorisresponsibletogetgoodsreadyandensurequalitycomplianceforinspection.ifgoodsisrejectedduetonon-compliance,wewillcharge$250USDforeachadditionalinspection,andthechargewillbedeductedfromthepaymentofgoods. 　　7.卖方负责准备好产品,并确保产品质量通过检验.如果因为不符合规定导致产品被拒,我方将收取250美元每次的追加检验费,该收费将从应支付的货款中扣除. 　　8.Thevendoristoensureshipmentwillbemadeperdeliverydatecommittedabove,andwillbeheldresponsibleforanycost,feeorchargeincurreddirectlyorindirectlyduetodelayofshipmentcausedbythevendor. 　　8.卖方必须确保货物依据上方规定的时间出航,并且承担一切因卖方责任而导致的延迟所产生的直接或间接的成本、费用等. 　　9.Nounderrunallowed. 　　9.不允许发生缺货情况. 　　注：以上翻译并不专业
